Pacific Coast Oil Trust is a statutory trust formed among Pacific Coast Energy Company LP (PCEC), as trustor, The Bank of New York Mellon Trust Company, N.A., as trustee, and Wilmington Trust, National Association, as Delaware trustee. Co. acquires and holds net profits and royalty interests in certain oil and natural gas properties located in California. PCEC conveyed to Co. the net profits interests and a royalty interest, which are collectively referred to herein as the Conveyed Interests in certain oil and natural gas properties located onshore in California (the Underlying Properties). The Conveyed Interests represent undivided interests in the Underlying Properties.
