Whiting USA Trust II is a statutory trust formed pursuant to a trust agreement among Whiting Oil and Gas Corporation (Whiting Oil and Gas), as trustor, The Bank of New York Mellon Trust Company, N.A., as trustee and Wilmington Trust, National Association, as Delaware Trustee. Co. acquires and holds a term net profits interest (NPI) for the benefit of Co.'s unitholders pursuant to a conveyance from Whiting Oil and Gas, a 100%-owned subsidiary of Whiting Petroleum Corporation, to Co. The NPI is an interest in certain of Whiting Oil and Gas' properties located in the Permian Basin, Rocky Mountains, Gulf Coast andMid-Continent regions of the United States.
